Distributorship Policy

As a New Independent Distributor of ALPHANETWORLD CORPORATION or NWORLD, I understand and agree to the following: THAT

1. I am of legal age upon entering into this Distributorship Agreement, otherwise, I will submit a parental consent waiver together with my application;

2. This Distributorship Agreement is personal in nature and is non-transferrable nor assignable except in the event of my death, where law on intestate succession applies, however, subject to existing Company’s policy on qualification as Independent Distributor;

3. I fully understand that this Distributorship Agreement is personal in nature and is not transferrable nor assignable except in the event of my death, where law on intestate succession applies, however, subject to existing Company’s policy on qualification as Independent Distributor;

4. I attest that I personally participated and was personally presented with the NWORLD Business Presentation and Product Orientation prior to selling the NWORLD products;

5. As an NWORLD Independent Distributor, I can now engage in the direct selling of its products. Further, it is hereby understood that there is no required minimum product purchase that I need to make and no required minimum inventory that I need to maintain in order to sustain my status as an Independent Distributor.

6. I shall be eligible to sales bonuses, discounts, and privileges that may be granted by the company relative to my sales performance or successful delivery of products. Relevant to my sales activity, I further understand that sales bonuses, rebates and/or commissions are in accordance with the compensation scheme established in the NWORLD Marketing Plan, provided, that I have achieved such sales performance in good faith, and that I have not violated any of the provisions of the Distributorship Policy, Code of Ethics, and Company Policies;

7. This Distributorship Agreement limits a no employee – employer relationship between me and NWORLD; neither that I may claim to be a legal representative of NWORLD, nor bind NWORLD in any agreements other than those stipulated herein;

8. I understand that I should secure an express written approval from the Management of NWORLD or any of its authorized representative prior to making any form of advertisement in mainstream media, social networking sites, internet, and online media, including, but not limited to audio, visual and printed materials, other than the Company’s existing advertisement and marketing materials and postings on its official website and social media pages;

9. I understand that I should secure an express written approval from the Executive Committee of ALPHANETWORLD or any of its authorized representative prior to making any form of advertisement ( e.g. social networking sites, internet, online media), including, but not limited to audio, visual and printed materials, other than the Company’s existing marketing collaterals and postings on its official website;

10. I am aware that making any misrepresentations, revisions, modifications, or alterations of the Company’s trademark, brand, logos, marks, marketing plan, products, advertisement, marketing materials, and other company provided marketing tools, is strictly prohibited. Otherwise, it shall be deemed violation of the Company’s rules, regulations and policies;

11. As a general rule, should my spouse join NWORLD as an Independent Distributor, he/she shall automatically be under my sales team. Otherwise, this shall constitute violation of the Cross-lining provision as defined on the Code of Conduct and Ethical Standard;

12. I affirm to exclusively join the sponsor I personally indicated in this Application Form or adhere to the “six month rule” in the event I have decided to sign-up to another sponsor line

(Please see “six month rule” details on NWorld’s Code of Conduct chart.);

13. I shall diligently settle to the designated government agency/local government unit all due taxes from the taxable sales bonuses I have earned from NWORLD.

14. I am fully aware that the NWORLD reserves the right to modify, revise, and update its existing policies and business plan for the best interest of the company and its Distributors with 30 days prior notice;

15. I conform to conduct all my sales activities in accordance with the existing laws of the Republic of the Philippines and release NWORLD from any liability arising from my own personal actions;

I hereby certify that the above information are true and correct to the best of my knowledge. In case of violation of any of the terms and conditions herein stipulated, I hereby agree and authorize NWORLD to revoke, deactivate, and/or suspend my privileges as Independent Distributor without prejudice to any charges, criminal and/or civil, that NWORLD may charge against me, without limitation to any false information I have provided herein.

I fully understand and further confirm this authority that I am conferring ALPHANETWORLD to do so is with my own free will and volition, without any force, intimidation or undue influence employed upon me.

Code of Ethics

CODE OF CONDUCT AND ETHICAL STANDARDS

amended as of September 15, 2016

INTRODUCTION

The Code of Conduct and Ethical Standards, Code for brevity, serve as the working guidelines of all Independent Distributors, hereinafter referred to as “Ntrepreneurs”, of ALPHANETWORLD CORPORATION, also known, and operating under the trade name “NWORLD”, hereinafter referred to as the “Company”. Ntrepreneurs are expected to remain loyal, committed, and dedicated to the Company by abiding its rules, policies and procedures at all times.

Article 1. EFFECTIVITY DATE. The Code shall take effect three (3) days from date of publication. Publication, for purposes set forth in this Code shall mean making the Code known in public by posting it in NWORLD’s official website: www.thealphanetworld.com, Facebook fan page: NWorld-Alphanetworld Corporation, other social media platforms, and or through issuance of a memorandum and circulars addressed to all Ntrepreneurs.

Article 2. APPLICABILITY CLAUSE. The provisions of this Code shall be enforced against all Ntrepreneurs who commit violation on any of the provisions of the Code within the jurisdiction of NWORLD.

Article 3. JURISDICTION. Except as otherwise provided under this Code, the Ethics Committee who is headed by NWORLD’s Chairman, President, and CEO, shall have the exclusive jurisdiction to handle issues and concerns for acts or offenses committed in violation of any of the provisions stated in this Code and in the Distributorship Policy.

Article 4. Ntrepreneurs are obliged to observe professionalism and to act in accordance with high ethical standards and personal integrity in their selling and business activities. Any act or acts of Ntrepreneurs must not impair or prejudice NWORLD’s honor and reputation.

Article 5. Ntrepreneurs shall uphold and maintain utmost humility, respect toward fellow Independent Distributors, directors, officers, employees and shareholders of NWORLD.

Article 6. Ntrepreneurs are believed to be responsible and in full commitment in performing the business as well as in promoting NWORLD and its products. Any breach of such duties and responsibilities may carry a penalty which includes revocation of some or all privileges of Ntrepreneurs, some of which includes:

    i. Twenty five percent (25%) discount for retail purchases;

    ii. Twenty percent (20%) discount for product package purchases;

    iii. Unlimited use of online facilities of NWORLD through an assigned NTC Number;

    iv. Sponsor other potential sales partners to become an Ntrepreneurs;

    v. Sales bonuses based on performance;

    vi. Entitlement to recognition, awards, and incentives.

Article 7. Nominal Duties and Responsibilities. Hereunder are the nominal duties and responsibilities of every Ntrepreneurs to wit:

    Section 1. Ntrepreneurs shall not offer, interfere or accept a prospective distributor/s who already signed a Distributors Application Form (DAF) with another sponsor. The six (6) month cooling off-period shall take effect immediately upon completion of the following:

    a) Duly accomplished DAF submitted by the sponsor to NWORLD office or to any of its branches nationwide and abroad, properly indicating therein his/ her sponsor.

    b) b) The accomplished DAF must be validated and stamped by the Cashiers in any of NWORLD offices and branches, within one (1) month from the date of signing.

    c) In case no validation has been made within the said period, the prospective distributor may elect another Ntrepreneur to be his/ her sponsor.

    Section 2. Ntrepreneurs must reveal their full name when placing the Company’s name as “Alphanetworld Corporation”, “NWORLD” or its products “NLighten/Nhance” in the digital and online platforms, personal websites, actual marketing tools, and in all business dealings, to avoid misrepresentation.

    Section 3. Ntrepreneurs must use the official cover photos of NWORLD in their social media account, personal website, and in other similar platforms when promoting NWorld, Nlighten and Nhance products.

    Section 4. Ntrepreneurs shall not endorse nor publish any promotional materials without the approval of NWORLD, unless Ntrepreneur utilizes a Disclaimer which read as follows:

“DISCLAIMER: This literature/marketing tool is not an official publication of ALPHANETWORLD

CORPORATION. This literature/marketing tool is designed for (please indicate name of

independent distributor). For ALPHANETWORLD CORPORATION’s official publication, please

visit the website: www.thealphanetworld.com.”

    Section 5. Ntrepreneurs shall not import or export NWORLD products to other countries with existing official importer or exporter or exclusive dealer or master franchisee.

    Section 6. Ntrepreneurs shall be responsible in the use of digital, online and actual marketing, tools, or publications involving NWORLD. All Ntrepreneuers must avoid using any other signs, marks, logos, trademarks or other symbols that may cause misrepresentation.

    Section 7. Ntrepreneurs shall refrain from posting comments in the social media, personal websites, blogs, and other similar online platforms that may contradict the existing rules, policies, procedures, and core values of NWORLD.

    Section 8. Ntrepreneurs shall not answer or poach any queries on the social media account including the comment section of an Ntrepreneur’s post or ad, personal website, and similar online platform of other Ntrepreneurs.

Article 8. Main Duties and Responsibilities. Hereunder are the main duties and responsibilities of every Ntrepreneurs to wit:

    Section 3. Ntrepreneurs who are inclined to participate in any third party advertisement or E-Commerce platform are strictly prohibited from offering the following:

    a. Discounts

    b. Vouchers

    c. Freebies

    d. Free Shipping

    e. Cash on Delivery (COD)

    f. Any other kind of promos that are not allowed by NWORLD

    Section 4. Ntrepreneurs who post free shipping locally, cash on delivery (COD) or sell products in stores such as but not limited to retail stores, bazaars, drug stores, convenient stores and groceries must, without fail, publish the price of every product accordingly with a minimum of at least 15% percent additional to its suggested retail price (SRP).

    Section 5. Ntrepreneurs who sell products outside the Philippines shall include an additional of at least a minimum of 30% on top of the suggested retail price.

    Section 6. Ntrepreneurs who sell to corporate entity shall ensure that the corporate entity signs a Merchant Agreement provided by NWORLD, compelling corporate entity to sell NWORLD products with at least a minimum of 15% additional to its suggested retail price (SRP) as shown below:

    Section 7. Ntrepreneurs shall not commit fraudulent acts directly or indirectly towards fellow Ntrepreneurs, directors, officers, employees, and shareholders of NWORLD through the following acts:

    a. Forgery. Falsifying, and or imitating any handwriting or signature of another in any forms or documents;

    b. Giving false statements or narration of facts especially on a public documents such as affidavits and sworn statements;

    c. Falsification of Documents/Alteration of Documents- changing information from its original document or unauthorized modification of the information;

    d. Alteration of the quality and quantity of the goods or products;

    e. Issuance of any form or documents claiming to be the copy of an original document which do not actually exist;

    f. Production of fake goods or products of inferior quality or lesser value which appears to be the same product of NWORLD;

    g. Causing unreasonable delay on delivery of any paid NWORLD products and activation codes;

    h. Unreasonable delay in encoding the new client to the NWorld system. Unreasonable delay shall mean non-encoding within seven (7) days or more from the date of purchase.

    i. Using fictitious name or dummy account for registration or sponsorship with the intention to defraud another person;

    j. Violation of the Batas Pambansa Blg. 22 also known as Anti-Bouncing Checks Law, relative to NWORLD trasactions only.

    k. Any other forms of dishonesty, deceit, estafa, fraud or misrepresentation committed within the course of his/ her duties and responsibilities as Ntrepreneur.

    Section 8. Cross-Lining. Registration of sponsorship of another NTC to a different line, in the following manner:

    a. Register a spouse of an Ntrepreneur with existing NTC sponsored under a different line other than that of his/her spouse;

    b. Any Ntrepreneurs who transferred sponsorship without the observance of the two (2) year re-sponsoring policy. The two (2) year re-sponsoring policy, for purpose of this Code, shall mean any NTC with no product purchases and no income for a period of at least two (2) years, may apply for sponsorship to another sponsor, provided, he/ she must submit an application letter addressed to the Ethics Committee. Application must be duly approved by the Committee prior entering any transactions with NWORLD;

    c. Any other acts that are likely to circumvent the company policy producing similar act or with relative effect;

    d. Any Ntrepreneur who register or transfer his/ her biological or adoptive parents, brother and sister, whether full-blood or half-blood, his/her children whether legitimate or illegitimate, and their ascendants or descendants of nearest degree to other sponsor, or under a different line.

    Section 9. Cross-Sponsoring. This is known as “pirating” or “poaching”. An act of registering an Ntrepreneur with existing NTC under his/her line of sponsorship in the following manner:

    a. Sponsoring the spouse of the existing Ntrepreneur;

    b. Sponsoring an existing Ntrepreneur (retailer is considered Ntrepreneur), wherein he/ she has a knowledge that the same person he is sponsoring is already an Ntrepreneur of NWORLD;

    c. Sponsorship without the observance of the two (2) year re-sponsoring policy; The two (2) year re-sponsoring policy, for purpose of this Code, shall mean any NTC with no product purchases and no income for a period of at least two (2) years, may apply for sponsorship to another sponsor, provided, he/ she must submit an application letter addressed to the Ethics Committee. Application must be duly approved by the Committee prior entering any transactions with NWORLD;

    d. Any other acts that are likely to circumvent the company policy producing similar act or with relative effect;

    Article 9. Preventive Suspension. An Ntrepreneur may be placed under a preventive suspension pending investigation by the Ethics Committee for the following violations:

    i. Underpricing;

    ii. Multiple Violations;

    iii. Gross Violations; and

    iv. Any violation that is detrimental to NWorld’s interest and welfare as deemed by this Committee.

    Section 1. During a Preventive Suspension, all privileges granted to an Ntrepreneur shall be blocked/suspendend. The NTC will not be accessible to the said Ntrepreneur until the resolution of his/her case or from the initial investigation or determination of the Committee preventive suspension is unnecessary.

    Section 2. If the Ntrepreneur be proven innocent to the violations complained of, all privileges shall be restored and retroact from the date of the said suspension.

    Section 3. If the Ntrepreneur is proven guilty of the violation complained of, the preventive suspension shall form part of the decision in addition to the sanctions provided in the resolution of the case.

Article 10. Penalties. The penalty component of this Code addresses three (3) categories of violations, minor, major, and gross. Disciplinary procedure is clearly laid out to avoid discrimination and wrongful application of our policies.

Article 11. Minor Violations. The minor violations refers to offenses that are less serious in nature, including but not limited to violations committed against any of the provisions enumerated under the nominal duties and responsibilities.

    Section 1. First Violation – At least one (1) month but not more than six (6) months suspension of the Independent Distributor’s NTC and activities. All bonuses, privileges and other remunerations, monetary or in kind are forfeited and to make product purchases and to receive any benefit such as sale bonuses effective immediately.

    Section 2. Second Violation - Termination of NTC including forfeiture of income, bonus, privileges, and other remunerations, monetary or in kind effective immediately, and will be put on a blacklist wherein he/she cannot join and register to NWORLD as Independent Distributor for a period of two (2) years, commencing from the date of termination.

Article 12. Major Violations. The major violations include acts or offenses considered detrimental to NWORLD which poses imminent and serious threat to the company’s reputation and operations, including but not limited to violations committed under the main duties and responsibilities of an Independent Distributor.

    Section 1. First Violation – At least one (1) month but not more than six (6) months suspension of the Independent Distributor’s NTC and activities. All bonuses, privileges and other remunerations, monetary or in kind are forfeited and to make product purchases and to receive any benefit such as sale bonuses effective immediately.

    Section 2. Second Violation - Termination of NTC including forfeiture of income, bonus, privileges, and other remunerations, monetary or in kind effective immediately, and will be put on a blacklist wherein he/she cannot join and register to NWORLD as Independent Distributor for a period of two (2) years, commencing from the date of termination.

Article 13. Gross Violations. Act or actions, with deliberate intent to violate policies that should be treated with utmost respect, commission of which on first offense merits Termination.

    Section 1. Ntrepreneurs are prohibited from engaging themselves with any person or entity from similar industry for purposes of employment, representation, association, sponsorship or recruitment of the incumbent Ntrepreneur of NWORLD in favor of competitors. An Ntrepreneur, shall not introduce, present, promote, offer or sell in any form or manner the products, services, business, marketing plans or strategy of such person or entity from similar industry.

    Section 2. Ntrepreneurs shall not join, associate with, register, subscribe, promote, represent, or any other form of affiliation and membership to any entity, groups, or companies duly declared by any agencies, bureaus, judicial or quasi-judicial bodies, or other government institutions and instrumentalities including the declaration of the government of any country as illegal or a scam. Ntrepreneurs too, shall not recruit, convince, offer, assist, sponsor, or any similar act thereto, other Ntrepreneurs or any other person to join, subscribe, associate with, or register membership to said illegal, scam or unregistered companies.

Article 14. Multiple Violations. An Ntrepreneur who commits various offenses whether simultaneous, or in succession shall be subjected to higher penalties, to wit:

    i. Three (3) Minor Violations

    =

    One (1) Major Offense

    ii. Five (5) Minor Violations

    =

    Termination

    iii. Three (3) Minor Violations, One (1) Major Violation

    =

    Termination

    iv. Two (2) Major Violations

    =

    Termination

Article 15. Non-Eligibility for Awards. Aside from the sanctions provided by the Committee for violations of the Code, an Ntrepreneur shall be ineligible for the League of Masters, League of Grandmasters, League of Mentors or other awards or recognitions that NWorld may grant to its Ntrepreneurs for a period of twelve (12) months starting from the date of the resolution of the case.

Article 16. Intellectual Property Rights. All intellectual property rights of NWORLD shall remain an exclusive property of NWORLD which include but not limited to copyright, trademark, service mark, trade name, corporate mark, logos, insignias, signage and designs. Any act of alteration, modification or unauthorized use of the company’s intellectual property is strictly prohibited.

Article 17. Amendments and Revisions. Any amendment or revision of this Code may be proposed at any time by any of the member of the Ethics Committee. Amendment shall take effect three (3) days from date of publication.
